The Justice Department is ordering Keysight Technologies to divest the high-speed ethernet testing, network security testing, and radio-frequency channel emulation businesses from Spirent Communications after suing the companies over their planned $1.5 billion merger.
The DOJ on Monday filed an antitrust lawsuit against the companies to block the planned $1.5 billion merger, which was announced in March. It simultaneously proposed a settlement that would resolve the concerns over competition if it were approved by the court, the DOJ said.
The DOJ said Keysight and Spirent account for 85% of the U.S. market for high-speed ethernet and more than half of the markets for network-security testing and radio-frequency channel emulators. Without the divestiture, the merger would likely result in higher prices and lower quality, the DOJ alleged.
The proposed settlement requires Keysight to divest the Spirent businesses to Viavi. Together, the three business lines account for about 40% of Spirent's total revenue, the DOJ said.
