CyberArk Software Ltd. has announced a proposed private offering of $750 million in 0.00% Convertible Senior Notes due 2030. The Notes are being offered to qualified institutional buyers under Rule 144A of the Securities Act of 1933. The company intends to use the net proceeds from the offering for general corporate purposes, potential acquisitions or investments, and capped call transactions. The Notes, which mature on June 15, 2030, will not bear regular interest or accrete in principal amount. They will be convertible into cash, ordinary shares, or a combination thereof, at CyberArk's election, under certain conditions before February 15, 2030, and at any time thereafter until the maturity date. CyberArk may offer an additional $125 million in Notes if initial purchasers exercise their option.
