Usio Inc. has announced a change in its independent registered public accounting firm. As of June 1, 2025, the partners of Pannell Kerr Forster of Texas, P.C. (PKF Texas) have joined WithumSmith+Brown PC (Withum), resulting in PKF Texas no longer serving as the company's accounting firm. Withum has been appointed as the new independent auditor, a decision approved by Usio's board of directors' audit committee. The transition follows an amicable process, with no disagreements or reportable events noted between Usio and PKF Texas regarding accounting principles or practices, financial statement disclosure, or auditing procedures for the fiscal year ended December 31, 2024. PKF Texas has provided a letter to the Securities and Exchange Commission agreeing with Usio's statements regarding the transition.
