Direct Digital Holdings Inc. held its 2025 Annual Meeting of Stockholders on June 10, 2025. At the meeting, five proposals were approved: the election of five directors, the ratification of the appointment of BDO USA, P.C. as the independent registered public accounting firm for the year ending December 31, 2025, an amendment to the 2022 Omnibus Incentive Plan to increase the number of shares of Class A Common Stock issuable, an amendment to the Amended and Restated Certificate of Incorporation to provide for officer exculpation, and the deletion of the waiver of Section 203 of the Delaware General Corporation Law.
