Newlink Technology Inc. has provided an update regarding the acquisition of 100% equity interest in Neusoft Yuetong. As part of the transaction, Newlink Technology Beijing, a wholly-owned subsidiary of Newlink Technology Inc., agreed to purchase the equity interest and make a capital increase to the Target Company. The acquisition involves an equity transfer consideration of RMB80,000,000, with additional commitments to succeed in the capital contribution obligations and a capital increase of RMB18,000,000. The update confirms that the Performance Guarantee Sellers, excluding Dai Linlin, have committed to fulfilling their obligations under the Acquisition Agreement, with the final compensation arrangements expected to be settled by 30 June 2025.
