Arts Optical International Holdings Ltd., a company incorporated in Bermuda and listed on the Main Board of the Hong Kong Stock Exchange, announced a connected transaction involving the acquisition of a 10% equity interest in a target company. The acquisition is being executed through an Equity Transfer Agreement dated June 10, 2025, between the Purchaser, Arts Opti Lab (Shenzhen) Company Limited, an indirect wholly-owned subsidiary of Arts Optical, and the Vendor, a connected person to the company. The transaction is exempt from circular, independent financial advice, and shareholders' approval requirements as the applicable percentage ratios are less than 5% under Chapter 14A of the Listing Rules.
