SigmaTron International Inc. has announced a waiver to its Agreement and Plan of Merger with Transom Axis AcquireCo, LLC and its wholly owned subsidiary, Transom Axis MergerSub, Inc. The waiver, dated June 20, 2025, extends the commencement of the Offer under Section 1.1(a) of the Merger Agreement from 20 to 25 business days after the date of the original Merger Agreement, which was signed on May 20, 2025. This extension sets the new commencement date to June 26, 2025, or another agreed-upon date between the parties. This update was jointly announced by the involved parties and signed by their respective presidents and officers.
