DigiCo Infrastructure REIT, HMC Capital Unit to Amend Investment Management Fee Agreement

DigiCo Infrastructure REIT (ASX:DGT) and HMC Digital Infrastructure Investment Management, a unit of HMC Capital (ASX:HMC), plan to amend their investment management fee agreement, according to a Wednesday Australian bourse filing.

Under the proposed amendments, DigiCo will pay a management fee to HMC Digital Infrastructure Investment Management with securities issued at its initial public offering price of AU$5 per security instead of at the monthly volume-weighted average price formula contained in the original agreement.

HMC will receive about 0.9 million fewer securities for the period to June 30 and consider extending the amended arrangement into 2026, at its election, per the filing.

Following DigiCo's consultation with the Australian Securities Exchange, it does not plan to seek approval from securityholders for the proposed amendment, as it is not considered to be a material change to the agreement, per the filing.

HMC Capital's shares were up 1% in recent Wednesday trade.
