Isdera Group Limited has announced that it has entered into an Agreement and Plan of Merger with UY Scuti Acquisition Corp., a special purpose acquisition company. The merger agreement, signed on July 18, 2025, involves UYSC merging with its subsidiary, Isdera Inc, which will become a publicly listed entity on Nasdaq. Meanwhile, Isdera Technology Limited will merge with Isdera Group Limited, with Isdera Group Limited being the surviving company. Upon completion of the transaction, shareholders of Isdera Group Limited will receive ordinary shares of Isdera Inc, with some shares subject to a 180-day lock-up period. Security holders of UYSC will also receive ordinary shares of Isdera Inc following the closing of the business combination.
