Northwest Natural Holding Company has announced amendments to its bylaws, effective July 23, 2025. Key changes include updates to procedural and disclosure requirements for shareholder special meeting requests, an extension of the maximum notice period for shareholder meetings, and revisions to the advance notice deadline for proposals. The amendments also authorize only specific board members to adjourn or postpone meetings, require shareholders to attend meetings in person or via a representative to present proposals, and permit electronic delivery of notices and documents. Additional administrative updates were also made to modernize and simplify the bylaws.
