This proposal is pending approval from the Fund's shareholders, who will cast their votes at the 2025 Annual Meeting of Shareholders scheduled for September 23, 2025. The decision to recommend liquidation was made after considering various factors and deemed to be in the best interests of the Funds and their shareholders. Shareholders will receive detailed proxy materials ahead of the meeting. Additionally, a standstill agreement has been reached with Saba Capital Management, a significant shareholder, wherein Saba agrees to withdraw its proposals and support the liquidation. This agreement will be filed with the SEC as part of Saba's Schedule 13D.
