Assembly Biosciences (ASMB) on Friday announced the pricing of an underwritten, registered offering consisting of close to 5.6 million common shares and pre-funded warrants to purchase about 1.04 million common shares.

It added that the offering also includes Class A and Class B warrants to acquire up to 6.6 million common shares, priced at a combined $19.60 per common share with accompanying warrants, and $19.599 per pre-funded warrant with accompanying warrants.

The company also said Gilead Sciences will purchase close to 2.3 million shares of common stock and accompanying Class A warrants and Class B in a private placement at a similar price of $19.60 per share.

Assembly Biosciences shares were up 8.2% in recent premarket activity.
