CEA Industries (BNC) said late Sunday it filed a registration statement in relation to a previously disclosed $500 million private investment in public equity transaction.

The company also said Monday its board approved a share buyback plan of up to $250 million.

CEA shares were down 14% in recent Monday premarket activity.
