Microbot Medical Inc. (Nasdaq: MBOT) has completed the third and final closing of its previously announced offering, raising a total of $29.2 million through the exercise of outstanding preferred investment options. The offering was conducted in three tranches, resulting in the issuance of 13,989,115 shares of common stock. In connection with these exercises, Microbot issued new unregistered short-term series J preferred investment options to purchase up to 13,989,115 shares of common stock at an exercise price of $4.50 per share. These options will become exercisable six months after issuance and have a term of two years. The company could receive up to approximately $63 million in additional gross proceeds if the new series J options are exercised in full. Microbot has agreed to file a registration statement with the SEC covering the resale of the shares issuable upon exercise of the new investment options.
