Vinci Compass Investments (VINP) agreed to acquire Verde Asset Management for cash and stock in two phases.
First, the buyer will acquire 50.1% for 46.8 million Brazilian reais ($8.81 million) and issue 2.1 million new Class A common shares. The remaining stake will be purchased through an earnout, to be paid five years after closing, for 127.4 million reais in cash or stock at the buyer's options.
The transaction, expected to close in Q4, is expected to increase cash flow per share in the double-digit percentage range and boost earnings per share in the low to mid single-digit range, Vinci said Monday in a statement.
