CoreWeave and Core Scientific have entered into a definitive agreement under which CoreWeave will acquire Core Scientific in an all-stock transaction. Under the terms of the agreement, Core Scientific stockholders will receive 0.1235 newly issued shares of CoreWeave Class A common stock for each share of Core Scientific common stock held. The transaction has received unanimous approval from the Boards of Directors of both companies and is expected to close in the fourth quarter of 2025, pending customary closing conditions. CoreWeave stated that there will be no increase to the offer price and noted that no alternative buyers have emerged since its initial approach in June 2024.
