Ranger Energy Services is acquiring American Well Services (AWS), a well services provider focused on the Permian Basin, from Argonaut Private Equity. The transaction will increase Ranger's rig count by approximately 25%, making it the largest well-servicing provider in the lower 48 states. The total consideration for AWS is around $90.5 million, representing less than 2.5 times trailing EBITDA. Ranger expects the deal to be immediately accretive to earnings and cash flow, with $4 million in identified synergies and future pro forma EBITDA projected to exceed $100 million as commodity prices recover. The purchase will be funded through a mix of cash, stock, and a performance-based earn-out, with plans to repay any acquisition-related borrowings within a year, supported by strong free cash flows.
