Allied Gaming & Entertainment Inc. has provided an update on its ongoing litigation against Knighted Pastures LLC, Roy Choi, Naomi Choi, and Yiu-Ting So. The United States District Court for the Central District of California recently issued a full order on preliminary relief, stating that Allied is reasonably likely to prove that the Knighted Parties, along with Naomi Choi and Yiu-Ting So, acted as a group under Section 13(d) and may succeed on the merits of its claims. In response, Allied's Board of Directors has made a preliminary determination that the Knighted Group triggered the company's shareholder rights plan, which was adopted in February 2024. The Board currently plans to seek shareholder approval at the next annual meeting to confirm and ratify this determination, and to authorize the Board to decide on any actions related to enforcing the rights plan. The Board has stated it will consider shareholder and advisor input before making a final decision.
