Fold Holdings Inc. has amended its existing Master Loan Agreement with Two Prime Lending Limited through its wholly-owned subsidiary, Fold, Inc. The amendment, executed on November 19, 2025, increases the interest rate on borrowings from 6.5% to 8.5% per annum. The revised terms also lower several collateral thresholds, including the Initial Collateral Level from 250% to 160%, the Collateral Call Level from 175% to 135%, the Liquidation Level from 150% to 115%, and the Collateral Refund Level from 345% to 190%. Additionally, the amendment allows Two Prime to grant a security interest in its rights to the collateral under certain conditions, though counterparties cannot access the collateral unless an event of default occurs and remains uncured.
