SEMrush Holdings Inc. has entered into a new executive employment agreement with Eugene Levin, confirming his annual base salary at $395,000 for 2025. Levin remains eligible for a target bonus equal to 100% of his base salary, tied to company and individual performance. Under the agreement, if Levin is terminated without cause or leaves for good reason, he will receive six months of salary and employer-paid COBRA insurance premiums for up to six months. If such a termination occurs within the period beginning three months before and ending twelve months after a change of control, Levin will receive a lump sum equal to twelve months' salary plus his annual target bonus, continued insurance premiums for up to twelve months, and full acceleration of time-based equity awards. Equity awards not assumed or continued in a change of control will also fully accelerate if Levin is employed at the time or was terminated without cause or for good reason within the three months prior.
