Simulations Plus Inc. has entered into amended and restated employment agreements with key executives, including CEO Shawn O'Connor, CFO Will Frederick, Chief Revenue Officer John DiBella, President of Service Solutions Jill Fiedler-Kelly, Co-Chief Product & Technology Officer Erik Guffrey, COO Josh Fohey, and Chief Scientific Officer Viera Lukacova. Under the new agreement, Will Frederick will receive an annual base salary of $359,100 and is eligible for an annual performance bonus comprising a target cash bonus of 35% of his base salary and a stock option grant targeting 20,000 stock options under the 2021 Plan. The actual amounts may vary and are subject to Board discretion. Jill Fiedler-Kelly's agreement includes a provision for a one-time payment equal to twelve months of base salary and COBRA benefits for twelve months if she is terminated without cause, contingent on signing a release of claims.
