Entergy Texas, Inc., a subsidiary of Entergy Corporation, has entered into a series of agreements related to the construction and leasing of the planned 754-megawatt Legend Power Station in Jefferson County, Texas. Under these agreements, Bank of America, N.A. acts as Administrative Agent, with BA Leasing BSC, LLC serving as Lessor and other parties as Rent Assignees. The financing structure allows for monthly construction advances to Entergy Texas, which will be added to the lease balance. Upon completion, Entergy Texas will lease the facility for up to 58 months, making rent payments based on the lease balance and covering all operating and maintenance costs. The agreements include covenants such as maintaining a consolidated debt ratio of 65% or less and restrictions on asset pledges and sales. Events of default could accelerate obligations or terminate rights to the leased property.
