Cingulate Inc. has announced changes to the employment agreement with Dr. Shane Schaffer, the company's Chief Executive Officer. Effective December 15, 2025, Dr. Schaffer's base salary has been reinstated following a period of administrative leave. The definition of "Cause" for termination in his agreement was revised to include any court determination that Dr. Schaffer has violated court-imposed probation and to remove the requirement that certain actions be willful. Additionally, the number of directors needed to decide on termination for cause has been reduced to a majority, excluding Dr. Schaffer. Severance terms were also adjusted: in the event of termination without cause or for good reason, Dr. Schaffer will now receive a lump sum equal to one times his base salary and annual target bonus; if termination occurs within twelve months following a change in control, the payout will be one and a half times base salary and annual target bonus.
