S. Nechama Investments (2008) Ltd., Kanir Joint Investments (2005) LP, and Anat Raphael, who collectively hold approximately 45.9% of Ellomay Capital Ltd.'s outstanding share capital, have agreed to sell their holdings to O.Y. Nofar Energy Ltd., a public company listed on the Tel Aviv Stock Exchange. According to the companies, the transaction is expected to facilitate an orderly transition of ownership, with Ellomay Capital continuing its regular operations and retaining its management team, including CEO Ran Fridrich. Following the completion of the transaction, Nofar may appoint up to four directors to Ellomay Capital's board, replacing an equivalent number of current directors, while Ran Fridrich will remain as CEO. The closing of the deal is subject to certain regulatory approvals, and there is no current assurance regarding the timing or completion of the transaction.
