Verisk Analytics Scraps $2.35B AccuLynx Acquisition After FTC Misses Review Deadline

Verisk Analytics has cancelled its planned acquisition of AccuLynx because U.S. regulators didn't finish reviewing the deal before the deadline.

The data analytics and technology provider in late July reached a deal to buy AccuLynx, a cloud‑based project management tools for roofing contractors, for $2.35 billion in cash to strengthen its network capabilities in insurance claims and restoration.

Verisk said Monday that the decision to cancel the acquisition came about because the Federal Trade Commission didn't complete its review of the transaction by the Dec. 26 deadline stipulated in the contract.

Since the acquisition is off, Verisk said it will now redeem the $1.5 billion in debt it issued to finance the deal, paying slightly above the original amount plus any interest owed.

Verisk noted that AccuLynx says it believes Verisk's termination of the merger agreement isn't valid. Verisk disagrees and said it will fight any challenge.
