QBE Insurance Group Receives Shareholder Resolutions for 2026 AGM

QBE Insurance Group (ASX:QBE) said it has received shareholder requisitioned resolutions related to potential amendments to the company's constitution as well as climate risk disclosure and governance matters, according to a Thursday Australian bourse filing.

One resolution proposes amending the company's constitution to allow shareholders at general meetings to express opinions, request information, or make recommendations regarding the exercise of powers vested in directors, though such resolutions would remain advisory and not binding.

The resolutions, which will be considered at QBE's 2026 annual general meeting, include enhanced disclosure of climate-related risks, including the proportion of gross written premium potentially exposed to physical climate risks.

The resolution also proposes that the company shares assessments of how different climate scenarios could affect macroeconomic conditions and the company's financial outlook.

Shareholders have also requested that QBE assess and disclose potential governance conflicts related to underwriting insurance for new and expansionary oil and gas projects, including whether current governance mechanisms adequately manage such risks.
