Vection Technologies (ASX:VR1) said it has executed a share sale agreement to fully acquire Digital Experience Labs, with upfront consideration of AU$2.1 million in scrip and an earn-out of between AU$300,000 and AU$2.1 million in scrip tied to fiscal year 2026 earnings before interest, taxes, depreciation, and amortization (EBITDA) performance, according to a Tuesday Australian bourse filing.
The company said the acquisition adds AU$3.5 million in revenue and AU$800,000 in earnings before interest and tax (EBIT) to Vection, with no debt, with completion targeted by April 9.
Integration is expected to be complete within a month of completion, the filing added.
