Archimed to Buy Esperion Therapeutics for Up to $1.1 Billion

Healthcare-focused investment firm Archimed is buying commercial-stage biopharmaceutical company Esperion Therapeutics for as much as $1.1 billion.

Esperion said Friday it has reached a definitive agreement that will see funds managed by Archimed pay shareholders $3.16 a share in cash, and offer the right to participate in milestone payments of up to $100 million tied to future sales performance. The upfront cash consideration represents a premium of 58% to Esperion's closing price a day earlier.

Esperion, which was founded in 2008, is focused on bringing new medicines to market and offers solutions to combat the risk of cardiovascular disease.

Chief Executive Sheldon Koenig said Archimed's acquisition offers Esperion shareholders with attractive and immediate upfront value while preserving the opportunity to see additional upside tied to future growth of the company's core cardiometabolic products.

Esperion's board unanimously approved the transaction and is recommending that shareholders vote their shares to approve the deal.

When the takeover is completed, Esperion will become a privately held company and its shares will no longer be listed on Nasdaq. The stock was halted in premarket trading.
