Ondas has agreed to acquire Omnisys, an Israeli developer of AI-driven defense software, for up to $259 million in stock.
The drone maker said buying Omnisys and its Battle Resource Optimization software is a milestone in Ondas' transition into a software-defined defense technology company.
"BRO is a proven, battle-tested software platform that delivers meaningful operational value by improving planning, battlefield resource optimization and real-time mission execution across complex multi-domain environments," Chief Executive Eric Brock said.
Ondas has been on a deal-making spree recently, buying up a spate of companies that work in autonomous systems, AI software and defense technology. It struck a $175 million deal for defense contractor Mistral last month, snagged the remote-sensing business World View Enterprises weeks earlier and picked up three other firms in March.
Under the terms of the latest deal, Omnisys will receive $199 million of Ondas stock, along with up to $60 million of stock in contingent earn-out payments over three years, based on the achievement of certain milestones.
Ondas shares fell 10% to $9.60 after the deal was unveiled.
The agreement also requires that all of Omnisys' key employees and at least 90% of its general workforce and contingent workers must remain at the company immediately following the closing.
The acquisition is expected to close in the second quarter.
