FICO Board OKs New $2 Billion Share Buyback Program

Fair Isaac's board has given the go ahead to a $2 billion share buyback program.

The new open-ended program replaces what remains under a previous repurchase program for up to $1.5 billion of shares.

FICO said it also entered into an amendment to its credit agreement that, among other things, provides for an incremental term loan of $1.5 billion, the full amount of which was drawn last Friday. The company said it plans to use the proceeds of the term loan to fund an accelerated share repurchase program under an agreement entered into with Wells Fargo Securities.

FICO will on Monday make an upfront payment of $1.5 billion to Wells Fargo and expects to receive an initial delivery of about 1.06 million of its shares.

The company's shares last closed at $1,137.33, down 33% so far this year.
