Brightstar Lottery (BRSL) has initiated a tender offer for any and all of the Regulation S interests in its outstanding 500 million euros ($580.5 million) worth of 2.375% senior secured notes due April 2028, the company said Tuesday.
Brightstar said it will pay 990 euros per 1,000 euros principal amount for notes validly tendered and accepted, plus accrued and unpaid interest.
Brightstar also launched a benchmark offering of euro-denominated senior secured notes due 2032, with an application submitted for the new notes to be listed on the official list of Euronext Dublin and to trade on its Global Exchange Market, the company said.
Brightstar plans to use gross proceeds from the sale of the new notes to pay the purchase price and expenses related to the Regulation S interests transactions, the company said.
