OFX Cuts Fiscal 2027 Outlook, Equals Reconfirms AU$1 Per Share Offer

OFX Group (ASX:OFX) said trading conditions in fiscal 2027 have been more challenging than expected, as it's no longer expecting to grow group net operating income or corporate active clients for the year, despite second-quarter group net operating income expected to be about 5% higher than the first, according to a Thursday Australian bourse filing.

Separately, OFX said Equals has substantively completed confirmatory due diligence and is progressing debt financing arrangements for its proposed acquisition of OFX, with both parties making meaningful progress on finalizing the terms of the scheme implementation deed, the filing added.

The company said Equals has reconfirmed the proposed scheme consideration of AU$1 cash per OFX share, representing an equity value of AU$247 million and an enterprise value of AU$231 million.

The consideration remains subject to adjustment of up to AU$0.04 per share based on OFX's available cash balance on the relevant testing date, with the OFX board continuing to believe the proposed scheme is in the best interests of shareholders, the filing added.
