Golden Resources Sets 26 Aug 2026 AGM; Proposes Final Dividend, 10% Buyback and 20% Issuance Mandates

Golden Resources Development International Limited has scheduled its 2026 Annual General Meeting for 11:00 a.m. on 26 August 2026 at Novotel Century Hong Kong, Wan Chai.

Key agenda items include: 1. Approval of the audited financial statements and directors’ and auditor’s reports for the year ended 31 March 2026. 2. Declaration of a final dividend (amount to be confirmed at the meeting). 3. Re-election of directors and authorisation for the board to determine directors’ remuneration. 4. Re-appointment of the auditor and authorisation for the board to fix its remuneration. 5. Three ordinary resolutions granting: • A share-repurchase mandate of up to 10% of issued share capital during the mandate period. • An issuance mandate authorising directors to allot and issue new shares up to 20% of issued share capital, with authority to grant related options or convertible instruments. • An extension of the issuance mandate by the number of shares repurchased under the buyback mandate, capped at an additional 10% of issued share capital.

Key dates for shareholders: • Register closure for AGM attendance and voting: 20–26 August 2026 (both days inclusive). • Share transfer deadline for AGM eligibility: 4:30 p.m. on 19 August 2026. • Last day to trade with dividend entitlement: 28 August 2026. • Ex-dividend date: 31 August 2026. • Dividend record date and share transfer deadline for dividend entitlement: 4:30 p.m. on 1 September 2026.

Shareholders may appoint proxies, including the AGM chairman, by submitting proxy forms to Tricor Investor Services Limited at least 48 hours before the meeting.
