Beijing-headquartered Luzhu Biotech (02480) announced that all 11 resolutions proposed at the 12 June 2026 annual general meeting were approved by shareholders through a poll, each garnering 100.00% of the votes cast.
The meeting was attended—either in person or by proxy—by holders of 141.96 million H shares carrying voting rights, representing 71.37% of the total issued share capital excluding 3.54 million treasury shares, which were not entitled to vote.
Key approvals include:
• Financial and governance reports: The 2025 annual report, the Board’s 2025 work report, the Supervisory Board’s 2025 work report and the report of independent non-executive directors were all adopted.
• Profit distribution: Shareholders endorsed the 2025 profit distribution plan (details not disclosed in the filing).
• Auditor re-appointment: Deloitte Touche Tohmatsu will continue as the Company’s auditor for 2026, with the Board authorised to determine remuneration.
• Capital mandates: Special resolutions granted the Board general mandates to issue new shares, repurchase H shares, and extend the issuance mandate by the amount of shares repurchased.
• Financing flexibility: Shareholders approved applications for credit facilities and the provision of guarantees by the Group, alongside a change in the use of proceeds.
