Anjoy Foods posts RMB16.19 billion revenue for 2025, sets 70% payout ratio and prepares new board line-up

• 2025 Performance Anjoy Foods reported operating revenue of RMB16.19 billion for 2025, up 7.05% year-on-year. Net profit attributable to shareholders fell 8.46% to RMB1.36 billion, reflecting product-mix adjustments and ongoing capacity expansion.

• Dividend Policy The board proposes a final cash dividend of RMB1.44 per share (tax inclusive), totalling about RMB478.26 million. Combined with the RMB1.425 per share interim dividend (RMB473.28 million) already paid, total cash payouts for 2025 will reach RMB951.55 million, equal to 70.01% of annual attributable profit. The cash dividend will be paid in RMB to A-shareholders and in HKD to H-shareholders on 2 July 2026, with the HKD amount determined by the PBOC fixing on the AGM date. Shareholders also authorised the board to declare interim cash dividends in 2026, capped at 100% of interim profits.

• Board Election & Remuneration Shareholders will vote on a new six-member board (sixth session): four executive director candidates—Liu Mingming, Zhang Qingmiao, Zhang Gaolu and Huang Jianlian; two non-executive director candidates—Zheng Yanan and Dai Fan; and four independent non-executive director candidates—Zhang Mei, Liu Xiaofeng, Zhao Bei and Zhang Yueping. For 2026, basic annual salaries for executive directors are set at RMB1.60 million for Liu Mingming and Zhang Qingmiao, and RMB1.00 million for Zhang Gaolu and Huang Jianlian. Independent directors resident in mainland China will receive RMB130,000 per year, while those resident in Hong Kong will receive RMB210,000.

• Auditor Re-appointment BDO China Shu Lun Pan Certified Public Accountants LLP is proposed for re-appointment as financial and internal control auditor for 2026, with an annual fee of RMB2.75 million. The 2025 audit fee is adjusted to the same level to reflect increased workload after the company’s dual A+H listing.

• Risk Management The company seeks shareholder approval for up to RMB980 million in guarantees for three subsidiaries in 2026: Hubei New Liuwu (RMB400 million), Honghu Xinhongye (RMB400 million) and Honghu Anjoy (RMB180 million).

• Annual Shareholders’ Meeting The 2025 AGM is scheduled for 21 May 2026 in Xiamen. The record date for meeting attendance is 21 May 2026, while the ex-dividend date for the final dividend is 28 May 2026.
