Risecomm GP Calls 17 September 2026 EGM to Ratify HK$121.70 Million Debt-for-Equity Conversions and HK$39.50 Million Share Placement

Risecomm Group Holdings Limited (Risecomm GP; 01679) has convened an Extraordinary General Meeting for 17 September 2026 in Hong Kong to seek shareholder approval for a series of six ordinary resolutions aimed at strengthening its balance sheet through loan capitalisations and a share placement.

Debt-for-Equity Conversions • Five conditional Loan Capitalisation Agreements signed on 27 May 2026 with GEOS Technology (HK) Limited, Haihua (HK) New Energy Development Limited, Linker Union Limited, Mr Ning Jun and Ms Guo Lei will collectively settle HK$121.70 million of outstanding shareholder loans. • The settlements combine (i) the immediate issue of 69.82 million new shares at HK$0.46 each and (ii) zero-coupon convertible bonds with an aggregate principal of HK$121.70 million exchangeable into up to 279.27 million shares at the same conversion price.

Counterparty snapshot – GEOS Technology (HK) Limited: 1.87 million new shares and HK$3.45 million convertible bonds (up to 7.50 million shares). – Haihua (HK) New Energy Development Limited: 1.80 million new shares and HK$3.32 million convertible bonds (up to 7.22 million shares). – Linker Union Limited: 52.62 million new shares and HK$96.82 million convertible bonds (up to 210.48 million shares). – Mr Ning Jun: 7.62 million new shares and HK$14.03 million convertible bonds (up to 30.50 million shares). – Ms Guo Lei: 5.89 million new shares and HK$10.85 million convertible bonds (up to 23.58 million shares).

Placing of New Shares Risecomm has also entered into a conditional Placing Agreement with GEO Securities Limited to place up to 85.87 million new shares at HK$0.46 per share, equivalent to HK$39.50 million, to settle loans owed to Ms Fu Xiaoqin and Clear Jolly Holdings Limited.

Mandates and Conditions Each transaction is contingent upon the Hong Kong Stock Exchange granting listing approval for the new shares and any shares to be issued upon conversion of the bonds. Separate specific mandates will authorise directors to allot and issue the relevant shares and convertible bonds. Shareholders will vote on all resolutions at the forthcoming EGM.

Capital Structure Implications If all immediate share issues proceed, Risecomm’s share capital will increase by 155.69 million shares. Full conversion of the zero-coupon bonds would add a further 279.27 million shares, subject to shareholder approval and regulatory clearance.
