Huscoke Holdings faces HKEX non-compliance after simultaneous resignation of three INEDs; trading remains suspended

Huscoke Holdings Limited announced that, effective 18 June 2026, all three of its independent non-executive directors (INEDs)—Mr. Yau Pak Yue, Mr. Choi Wai Hong, Clifford and Dr. Chang Sun Bun, Benson—have stepped down to focus on personal and other professional commitments. Their departures also end their respective roles on the Audit, Remuneration and Nomination Committees. Each resigning director confirmed no disagreement with the Board and no matters requiring shareholder attention.

The simultaneous exits leave the company in breach of six Hong Kong Listing Rules: • Rule 3.10(1): fewer than three INEDs remain; • Rule 3.10(2): no INED with accounting or related financial expertise; • Rule 3.10A: INEDs no longer constitute at least one-third of the Board; • Rule 3.21: Audit Committee membership falls below the minimum of three; • Rule 3.25: Remuneration Committee lacks an INED chairman and majority; • Rule 3.27A: Nomination Committee no longer chaired by the Board chairman or an INED, nor maintains an INED majority.

The Board stated it will make “best efforts” to appoint suitable candidates to restore compliance and will issue further announcements when appointments are confirmed.

Trading in Huscoke Holdings’ shares has been suspended since 09:00 on 30 March 2026 and will remain halted until further notice. Investors are advised to exercise caution when dealing in the company’s shares.
