Alternative Liquidity Index, LP (the Offeror) has, through Somerley Capital Limited, launched a voluntary cash partial offer to acquire up to 700.00 million shares in Jinchuan Group International Resources Co., Ltd (Jinchuan Intl) at HK$0.01 per share.

The offer represents: • A maximum outlay of HK$7.00 million if the full 700.00 million shares are accepted. • Potential acquisition of only a portion of each accepting shareholder’s tendered shares, subject to a scaling-down mechanism detailed in the offer document dated 26 March 2026. Fractional entitlements will be rounded at the Offeror’s discretion.

Key timetable and procedures: • Closing date: 23 April 2026 (4:00 p.m. Hong Kong time), unless extended with the Hong Kong Takeovers Executive’s approval. • Shareholders wishing to participate must submit a completed Form of Acceptance, together with original share certificates or valid transfer receipts, to Union Registrars Limited at Two Chinachem Exchange Square, North Point, Hong Kong. • Payment: Cheques marked “Not negotiable – account payee only” will be dispatched by ordinary post. Shares not taken up will be returned within seven business days after the closing date.

Regulatory and jurisdictional notes: • The offer is governed by Hong Kong’s Takeovers Code. • Participation by shareholders outside Hong Kong may be restricted by local laws; each such shareholder is responsible for compliance with their own jurisdiction’s requirements.
