Treasure International proposes to privatise OUE Healthcare at 0.050 Singapore dollars per share

Singapore – Aug, 24 2026 – Treasure International Holdings Pte. Ltd., a wholly owned unit of OUE Limited, has launched a scheme of arrangement to acquire all shares it does not already own in OUE Healthcare Limited for 0.050 Singapore dollars in cash per share.

The offer values each share at a 28.2% premium to OUE Healthcare’s last traded price of 0.039 Singapore dollars on Aug, 21 2026, the final trading day before the announcement. It also represents premiums of 37.5%, 36.1%, 42.1% and 51.1% over the one-, three-, six- and twelve-month volume-weighted average prices, respectively, and stands 2.5% above the company’s unaudited net asset value of 0.0488 Singapore dollars per share as at Jun, 30 2026.

The offeror already controls about 89.68% of OUE Healthcare’s issued shares. Approval of the scheme requires at least 75% in value and a majority in number of votes cast by independent shareholders at a forthcoming meeting, as well as regulatory and court clearances.

OUE Healthcare shares have averaged daily trading volume equal to roughly 0.05% of issued equity during the 12 months to Aug, 21 2026, with 16 non-trading days in that period. The proposed privatisation is aimed at giving minority investors an exit at a premium while allowing the company to pursue longer-term strategies away from public-market pressures.

OUE Healthcare will appoint an independent financial adviser to guide its recommending directors, and full details of the scheme will be provided in a circular to shareholders. If approved, OUE Healthcare will become a wholly owned subsidiary of Treasure International and will seek delisting from the Singapore Exchange.
