Pharmaron transfers 5.40 million treasury H shares to employee trust; authorised capital unchanged in July 2026

Pharmaron Beijing Co., Ltd. (Pharmaron) filed its Monthly Return for the period ended 31 July 2026, confirming stable capital structure alongside a targeted release of treasury shares for employee incentives.

Authorised and registered capital • Total authorised share capital remained unchanged at RMB 1.84 billion, comprising 1.48 billion A shares and 359.98 million H shares, all with a par value of RMB 1.00 each.

Issued share movements • H shares: On 22 July 2026, 5.40 million treasury H shares were transferred to the company’s trustee under the “2025 H Share Award and Trust Scheme”. This reduced treasury H shares to 1.87 million and lifted outstanding H shares in circulation to 358.11 million, while overall issued H shares stayed constant at 359.98 million. • A shares: No movement was recorded; issued A shares remained at 1.48 billion with no treasury position.

Treasury share history and residual capacity • The current 1.87 million treasury H shares originate from 7.26 million H shares repurchased in December 2024–January 2025 for incentive purposes. After the July transfer, these remaining shares continue to back the 2025 H Share Award and Trust Scheme. • Potential future equity issuance under A-share incentive plans totals 1.59 million shares, split between the 2022 Restricted A Share Incentive Scheme (682,152 shares) and the 2023 A Share Incentive Scheme (910,946 shares).

Public float compliance Pharmaron confirmed it met the Hong Kong Exchange’s minimum public float requirement of 5 per cent for H shares as at 31 July 2026.

The filing, submitted on 5 August 2026, contained no warrants, convertible securities or other share option activities during the month.
