China Wood International Calls 2 Sep 2026 EGM to Approve HK$0.10 Million Sale of Asia Pacific Forestry Development

China Wood International Holding Co., Limited has convened an extraordinary general meeting (EGM) for 2 September 2026 at 3 p.m. in Hong Kong to seek shareholder approval for the disposal of its entire interest in Asia Pacific Forestry Development (HK) Limited.

The proposed transaction stems from a Share Sale Agreement signed on 9 July 2026 between Fame Steps Limited—China Wood International’s wholly owned subsidiary—and individual purchaser Ms. Yang Lei. Under the terms, Fame Steps will sell 100% of Asia Pacific Forestry Development’s issued share capital for HK$0.10 million.

Shareholders will vote on: 1. Ratifying and approving the Share Sale Agreement and all related transactions. 2. Authorising any director to execute documents and take actions necessary to complete the disposal, including making non-material amendments or waivers deemed in the best interests of the company and its shareholders.

Key administrative details: • Register of members closure: 28 August – 2 September 2026 (both dates inclusive). • Record date to determine voting entitlement: 2 September 2026. • Share transfer documents must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 27 August 2026. • Shareholders may appoint proxies; multiple proxies are permitted for holders of two or more shares.

The board, led by Chairman and CEO Mr. Lyu NingJiang, recommends shareholders support the resolution to facilitate the transaction and empower directors to finalise all related matters.
