YGM Trading to Re-elect Directors, Appoint New INED, Renew Issue/Buy-back Mandates and Declare HK$0.10 Final Dividend at 18 Sep 2026 AGM

YGM Trading Limited has issued a circular convening its Annual General Meeting (AGM) for 18 September 2026 at 12:15 p.m. in Hong Kong. Key resolutions to be tabled include board changes, auditor re-appointment, refreshed capital mandates and a final dividend proposal.

Board Changes • Re-election: Executive Director Mr Chan Wing Fui, Peter and Independent Non-executive Director (INED) Mr So Stephen Hon Cheung will seek re-election. • Retirement: INED Mr Li Guangming will retire after more than eight years of service and will not stand for re-election. • New Appointment: Shareholders will vote on electing Mr So Ying Woon Alan (aged 76, former executive director of Yangtzekiang Garment) as an INED, who will also chair the Remuneration Committee and join both the Audit and Nomination Committees. He currently holds 1.45 million YGM Trading shares (approximately 0.88% of issued share capital).

Auditor Re-appointment • KPMG is nominated for re-appointment as external auditor for the year ending 31 March 2027. • Estimated audit fee: HK$1.00 – HK$1.20 million, subject to no material change in operations or scope.

Capital Mandates • General Issuance Mandate: Authority to allot and issue up to 20% of issued shares (up to 33.17 million shares based on the 165.86 million shares outstanding as of 23 July 2026). • Buy-back Mandate: Authority to repurchase up to 10% of issued shares (up to 16.59 million shares). The board currently has no immediate plan to exercise either mandate.

Dividend Proposal • Final dividend of HK$0.10 per share for FY 2025/26, subject to shareholder approval. • Books closure for dividend entitlement: 28 Sep – 2 Oct 2026; ex-dividend date 25 Sep 2026; payment expected on or around 13 Oct 2026.

Key Dates • Shareholder registration for AGM voting: Register closes 15 – 18 Sep 2026 (last day to lodge transfers: 14 Sep 2026, 4:30 p.m.). • AGM: 18 Sep 2026, 12:15 p.m., Yau Yat Chuen Garden City Club, Kowloon.

Share Capital Snapshot • Shares in issue (Latest Practicable Date 23 Jul 2026): 165.86 million. • Chan family holdings: approximately 57.24%; would rise to about 63.60% if the full buy-back mandate is utilised.

Proxy & Voting • Shareholders unable to attend must lodge proxy forms at the company’s registered office 48 hours before the AGM. • All resolutions will be decided by poll.

The board recommends shareholders vote in favour of all proposed resolutions, citing their alignment with the company’s interests and governance requirements.
