NEW GONOW RV (00805) announced that its board of directors was informed by Snowy.M Holdings Limited (a member of the company's controlling shareholder group) that on December 1, 2025, it entered into a series of share transfer agreements with several transferees to transfer approximately 6.56 million company shares (representing about 0.68% of the total issued shares as of the announcement date) via off-market transactions. Following the transfer, the controlling shareholder will retain interests in no fewer than approximately 707 million shares, accounting for about 73.70% of the total issued shares as of the announcement date. The controlling shareholder maintains strong confidence in the group's business operations.

The board was further notified by Snowy.M Holdings Limited of its decision to transfer a combined 84.40 million company shares (representing 8.79% of the total issued shares as of the announcement date) to NRV2 Benefit Global Limited and NRV3 Benefit Holdings Limited at zero consideration via off-market transactions. These shares are expected to be held for Snowy.M Holdings Limited's adoption of a new share incentive plan, which will cover certain employees of the group (the "Incentive Share Transfer"). The transfer is anticipated to be completed by mid-to-late December 2025.

Following the Incentive Share Transfer, Mr. Miao Xuezhong, one of the controlling shareholders, will continue to exercise voting rights over the transferred 84.40 million shares through Snowy.M Holdings Limited. Consequently, the transfer itself will not reduce the total number of shares controlled by the controlling shareholder.
