Star Plus Legend (6683) Announces Share Placement and Top-Up Subscription Targeting HK$369.3 Million Net Proceeds

Star Plus Legend Holdings Limited (Stock Code: 6683) has entered into a placing and subscription agreement on 13 November 2025, involving up to 75,000,000 existing shares at HK$7.20 per share. This price reflects a discount of approximately 19.91% to the HK$8.99 closing price on 12 November 2025. If fully placed, the shares represent around 8.36% of the current issued shares and 7.88% of the enlarged share capital following completion of the related subscription.

The agreement provides for a top-up subscription of up to 54,497,972 new shares, also at HK$7.20 each. Assuming all top-up shares are fully subscribed, net proceeds total approximately HK$369.3 million. According to the announcement, 67.70% of these proceeds (around HK$250 million) is intended for hosting concerts and exhibitions with international artists, 16.25% (HK$60 million) for developing exclusive celebrity IPs, 6.06% (HK$22.4 million) for research and development of food and beverage products, and 9.99% (HK$36.9 million) for general working capital.

The new shares will be issued under the company’s existing general mandate. On completion of the placing, the shareholding of Magic Express Enterprises Limited in the company will decrease from about 2.29% to nil. The agreement remains conditional on certain requirements, including Stock Exchange listing approval for the new shares. The company cautions investors that completion may or may not take place and advises exercising caution when dealing in its shares.
