First Cap GP details liquidity steps after auditor’s going-concern disclaimer, lines up HK$50.00 million facility and renews RMB371.50 million debt

China First Capital Group Limited (First Cap GP) has outlined a series of measures adopted since the release of its FY2025 annual report, in which the auditor issued a disclaimer of opinion on the Group’s ability to continue as a going concern.

Key initiatives:

1. Debt Restructuring Progress • On 2 January 2026, First Cap GP signed a Restructuring Support Agreement with initial creditors to implement a court-sanctioned scheme of arrangement under Hong Kong law. Additional creditors have subsequently acceded. • The Company extended the consent-fee deadline to 31 August 2026, providing more time to finalise creditor participation. • Draft scheme documents—including the explanatory statement, scheme meeting notice, proof-of-debt and proxy forms, option agreement and related releases—have been prepared and updated with data from the FY2025 report.

2. Liquidity Enhancement • Secured an unsecured credit facility of up to HK$50.00 million from a financial investor to cover restructuring costs, cash repayment components and consent fees, with the funding agreement now under preparation. • Since publication of the annual report, First Cap GP has renegotiated or refinanced borrowings totalling approximately RMB371.50 million.

3. Operating Performance • The automotive parts, education management and consultation, and financial services segments have continued to generate positive operating cash flows, according to management.

First Cap GP plans to issue further announcements on its progress in resolving the going-concern disclaimer in line with Hong Kong Stock Exchange requirements. Shareholders and investors are urged to exercise caution when dealing in the Company’s securities.
