Yik Wo International Holdings Limited (Stock Code: 8659) Announces Independent Non-Executive Director and Board Committee Changes

On 10 February 2026, Yik Wo International Holdings Limited (Stock Code: 8659) announced that Mr. Chang Eric Jackson resigned as an independent non-executive director, chairman of the Audit Committee, and a member of both the Nomination Committee and the Remuneration Committee due to other business commitments. According to the announcement, Mr. Chang confirmed that there is no disagreement with the board, and no matters related to his resignation need to be brought to the attention of shareholders.

Effective on the same date, Mr. Chan Chun Hin, aged 33, was appointed as an independent non-executive director, chairman of the Audit Committee, and a member of both the Nomination Committee and the Remuneration Committee. Mr. Chan is a member of the Hong Kong Institute of Certified Public Accountants and is currently finance director of Merit Corporate Services Company Limited. He also holds company secretary positions at several listed companies.

Under his appointment letter, Mr. Chan will serve a three-year term commencing 10 February 2026, subject to rotation and re-election under the company’s articles and relevant listing rules. He will receive an annual director’s fee of HK$60,000. The announcement states that Mr. Chan meets the independence criteria specified in the GEM Listing Rules, has no other major appointments within the group, and does not hold any shares in the company. The board expressed appreciation for Mr. Chang’s contributions and extended a welcome to Mr. Chan in his new roles.
