Beisen Adds 10,000 New Shares, Repurchases 100,000; Total Issued Shares Rise to 736.88 Million

On 15 July 2026, Beisen Holding Limited disclosed simultaneous share issuance and buyback transactions that marginally reshaped its capital structure.

The company issued 10,000 new ordinary shares under its Pre-IPO Share Option Plan (adopted 15 July 2019), equivalent to 0.00137 % of the 727.49 million issued shares (excluding treasury shares) outstanding before the transaction. The shares were allotted at HKD 0.00008 each.

On the same day, Beisen repurchased 100,000 ordinary shares on the Hong Kong Stock Exchange at prices ranging from HKD 3.27 to HKD 3.35, for a total consideration of HKD 0.33 million. These shares, representing 0.0137 % of the issued share base, have been retained as treasury stock.

After the two events: • Issued shares (excluding treasury) decreased by 0.09 million to 727.40 million. • Treasury shares increased to 9.47 million. • Total issued shares (including treasury) inched up by 10,000 to 736.88 million.

Repurchase mandate utilisation: Since the shareholder approval granted on 18 September 2025, Beisen has bought back 14.24 million shares, exhausting 2.03 % of the 70.12 million shares authorised for repurchase.

A 30-day moratorium bars any new share issuance or disposal of treasury shares until 14 August 2026, unless prior Exchange approval is obtained.
