WuXi XDC Cayman Inc. (the “Company”) (Stock Code: 2268) has issued a notice for an Extraordinary General Meeting (EGM) to be convened on Friday, December 12, 2025, at 10:00 a.m. at Atour Hotel, No. 5 Xinhua Road, Xinwu District, Wuxi City, Jiangsu Province, China.

The EGM will consider ordinary resolutions related to revised maximum service fees involving WuXi Biologics and new master services framework agreements with WuXi Biologics and WuXi AppTec. Specifically, the revised annual cap for services to WuXi Biologics under the Existing Antibodies Master Services Agreement for the year ending December 31, 2025, is RMB3,000 million. The meeting agenda also includes approving the New Antibodies Master Services Agreement dated September 22, 2025, its revised annual caps for 2026 to 2028, the New Payload-Linkers Master Services Agreement with WuXi AppTec dated September 2, 2025, and its respective annual caps.

Shareholders are advised that the closing period for the register of members runs from Tuesday, December 9, 2025, to Friday, December 12, 2025. All valid share transfers, accompanied by the required documents, must be lodged with the Company’s Hong Kong share registrar for registration by 4:30 p.m. on Monday, December 8, 2025, to qualify for attendance and voting at the EGM.
