Bank of Guizhou Receives Regulatory Nod for New INED; Sun Li Steps Down

Bank of Guizhou Co., Ltd. (stock code: 06199) announced two board‐level changes effective 20 September 2026.

The National Financial Regulatory Administration Guizhou Office has approved the qualification of Mr. Wen Zhichao to serve as an independent non-executive director (INED) on the bank’s fourth board session. His tenure will run concurrently with the remainder of the current board term. Mr. Wen recently left his role as an independent director of Guiyang Investment Holdings Group Co., Ltd. in May 2026; no additional disclosures were required under Hong Kong Listing Rule 13.51(2)(a)–(v).

Concurrently, Ms. Sun Li resigned as INED, Chair of the Audit Committee, and member of the Nomination and Remuneration, Compliance Management, and ESG Management and Consumer Rights Protection Committees, citing work-related adjustments. She confirmed no disagreements with the board and no other matters requiring shareholder attention.

Despite the resignation, the bank stated that its audit committee continues to meet Listing Rule 3.21 requirements—comprising solely non-executive directors, with at least three members and a majority of INEDs, including one with appropriate financial expertise. A new Audit Committee Chair will be appointed “as soon as practicable.”

Following the changes, the board consists of: • Executive Directors: Wu Fan, Cai Dong • Non-executive Directors: Zhang Yan, Chen Duohang, Gong Taotao • Independent Non-executive Directors: Lee Hoey Simon, Chen Rong, Xu Liang, Zhang Junjie, Wen Zhichao

The board expressed gratitude to Ms. Sun for her contributions during her tenure.
