LVGEM China Moves to Update Governance Documents, Seeks AGM Nod for New Memorandum and Articles

LVGEM (China) Real Estate Investment Company Limited has announced plans to overhaul its existing amended and restated memorandum and articles of association. The board intends to introduce a set of amendments designed to:

• Align the company’s constitutional documents with the latest Hong Kong Listing Rules covering hybrid meetings, electronic meetings, electronic voting, and the new treasury-shares framework.

• Reflect current applicable Cayman Islands laws.

• Implement ancillary “housekeeping” changes that flow from the above revisions.

The board proposes to adopt a fully amended and restated memorandum and articles of association (the “New Memorandum and Articles”) to replace the current version. Implementation hinges on shareholder approval via a special resolution at the forthcoming annual general meeting (AGM).

A circular setting out the details of the amendments and the AGM notice will be dispatched to shareholders in accordance with Listing Rule requirements.

As of 26 March 2026, the board comprises four executive directors—Chairman and Chief Executive Officer Huang Jingshu, Ye Xingan, Huang Hao Yuan and Li Yufei—and three independent non-executive directors: Chan Koon Fat, Jiao Jie and Wong Ting Dan.
